DEFINITIONS

Exhibitor shall have the meaning given on the attached booking form.
Event shall mean the event or webinar set out on the attached booking form.
Organiser shall mean Reset Connect Ltd.

1.    EXHIBITOR COVENANT
The Exhibitor shall abide by all rules and regulations adopted by Reset Connect. Ltd (the Organiser) and Exhibitors and agrees that the Organiser shall have the final decision in adopting any rule or regulation deemed necessary prior to, during and after the event or webinar.

2.    ASSIGNMENT AND SUBLETTING
Exhibitor shall not assign any rights under these terms and conditions or sublet or allow one or more co-Exhibitors to exhibit or co-brand in or on its allocated space without the prior written consent of the Organizer which consent may be withheld without giving any reason. Where such consent is given then (i) each Exhibitor on a given stand or space, virtual or in-person, shall (and Exhibitor shall procure that any assignees, sub-lessors or co-Exhibitors) shall be jointly and severally liable for any loss or damages arising out of any of their breach of these terms and conditions and (ii) each assignee, sub-lessor or co-Exhibitor must sign or adhere to these terms and Conditions.

3.    LIMITATION OF LIABILITY
3.1 The following provisions of this Regulation 3 set out the entire liability of the Organiser (including any liability for the acts or omissions of their employees, agents and subcontractors) to the Exhibitor in respect of all losses, claims or liabilities arising under of or in connection with the Event (including in respect of any indemnities), whether in contract, tort (including negligence), breach of statutory duty, or otherwise.
3.2 All warranties, conditions and other terms implied by law are, to the fullest extent permitted by applicable law, excluded from this Agreement.
3.3 Notwithstanding any provision to the contrary, nothing in the attached booking form or these Regulations shall exclude or limit the liability of the Organiser, for death or personal injury caused by the Organiser’s negligence or for fraudulent misrepresentation or for any liability that may not be limited or excluded by law.

3.4 Subject to Regulation 3.3:

3.4.1 the Organiser’s total liability to the Exhibitor in connection with the Event shall (other than in respect of the indemnities set out in Regulations 3.2 and 3.3) be limited to 100% of the Service Charge and Value Added Services Charge (as set in the attached booking form) paid by the Exhibitor; and
3.4.2 The Organiser shall not be liable to the Exhibitor for any loss of or corruption to data, downtime of video, servers or platform, loss of revenue and profit, loss of anticipated savings, loss of business, loss of opportunity, depletion of goodwill or reputation, additional operational and administrative costs and expenses, any financial losses or any indirect or consequential loss or damage.
3.4.3 The exhibitor must provide their own Public Liability Insurance for their participation at the event, this must cover the minimum value of £2M. The organiser will require proof of adequate insurance cover no later than 6 weeks prior to the event unless the booking is made after this point. If the booking is made after this point then this proof will be required at the point of booking.
3.5 The Organiser is not responsible for the content of any speaker’s presentation. Such content is the opinion of the speaker and not of the Organiser.

4.    CONDITIONS OF PAYMENT
Terms of payment are set out below.
In the event of non-payment of any part of the Contract Price as set out in the attached booking form, or of any other sums properly due from the Exhibitor to the Organiser, the Organiser shall have the right to undertake all or any of the following actions, which are in addition to any other rights the Organiser may have:
(a) Impose a surcharge of 2% per month on the outstanding balance of the relevant Contract Price or sums.
(b) Prohibit the Exhibitor from erecting and/or occupying the space or stand or branding allocated.
(c) Use the allotted space in such a way as the Organiser sees fit and to recover from the Exhibitor any Expense incurred in so doing.
(d) Exercise a general lien on all the Exhibitor’s property in or about any in-person Event venue

(e) To treat this Agreement as determined.
The Organiser may invoice directly or through a member of its Group. Payment by credit card will incur a 2.5% surcharge.

5.    PAYMENT TERMS

Unless otherwise agreed, 40% of total fees are due on acceptance of the Contract by the Organiser. A further 30% will be invoiced in December 2023 and 30% in March 2024. All rates are subject to any applicable taxes. Payment terms may be requested and considered on request and on a case-by-case basis.

6.    TERMINATION
The Organiser may terminate this Agreement if:
(a) The Exhibitor fails to observe or perform any of the Agreement terms and conditions;
(b) The Exhibitor becomes bankrupt or makes an arrangement or compromise with his creditors or, being a company, enters into liquidation whether compulsory or voluntary (save for the purposes of amalgamation and/or reconstruction) or suffers the appointment of a receiver, administrative receiver or administrator, or enter into or suffers any similar insolvency procedure under any jurisdiction.
(c) The Organiser may require any Sponsor/ Exhibitor/ Speaker/ Delegate or any visitor or attendee to submit to appropriate trade sanctions verification checks prior to permitting attendance or registration.

(d) The Organiser may withdraw permission for any person or entity to attend at any time in its absolute discretion for trade sanctions reasons and in such circumstances, the Organiser shall not issue any refund of fees already paid.

7.    CANCELLATION/ REDUCTION TERMS
In the event that the Exhibitor wishes to cancel its attendance at the Event, the Exhibitor shall give the Organiser written notice of the same. The Organiser shall, acting in its sole discretion, confirm whether or not it shall permit such cancellation. In the event that the Organiser permits such cancellation, the Exhibitor shall pay the Organiser the relevant of the following percentages of the total fees set out on the attached booking form:
2023 show until 12th July 2023, 0% Cancellation Fee
25% cancellation fee between 13th July 2023 until 15th December 2023
100% cancellation fee thereafter

8.    CANCELLATION OR CURTAILMENT OF SHOW BY THE ORGANISER
In the event that the venue where the Event is to be held is either destroyed or becomes unavailable for occupancy, in whole or in part, for reasons beyond the reasonable control of the Organiser or the Exhibitor, or if for any reason the Organiser is unable to permit the Exhibitor to occupy the Event venue or the space, or if the Event is cancelled or curtailed in any way, the Organiser will use reasonable efforts to rearrange the Event at the next available opportunity, as determined by the Organiser, in its sole discretion, and may in its sole election transfer any fees, or sums paid, hereunder to the rearranged future event; and the Organiser nor the Exhibitors will not be responsible whatsoever for any losses, loss of business, loss of profits, costs, fees, damages, claims or expenses of whatever nature that the Exhibitor may suffer. The reasons listed include, but are not limited to, such reasons as: casualty, pandemic, endemic, explosion, fire, lightning, flood, adverse weather, earthquake or other Acts of God, acts of public enemies, riots or civil disturbances, strike, lockout or boycott or other force majeure event. In the event of postponement due to COVID-19, the organisers will automatically roll the booking to the new rescheduled event date.

9.    GOVERNING LAW AND JURISDICTION
This contract shall be governed and construed in accordance with the laws of England and the parties agree to submit to the non-exclusive jurisdiction of the English courts.

10.    RIGHT OF REFUSAL
The Organiser may in its sole discretion accept or refuse any application for space made through the attached booking form (without disclosing the reasons to the Exhibitor). Exhibitor shall not be entitled to claim or receive any compensation in the event that Organiser rejects (on application) or cancels (at a later date) Exhibitor’s application. In the event that Organiser allocates space to Exhibitor, Exhibitor may not refuse such space, nor cancel his participation due to the space allocated.
