2.2 Contract formation

These Terms apply to the Client and the Organiser in relation to attendance at an event, whether in person, virtually or in a hybrid format.

Reset Connect Ltd reserves the right to accept or reject a booking, including where required following eligibility, compliance or sanctions screening. If a booking is rejected and no contract is formed, any Fees already paid for that booking will be refunded.

Unless terminated earlier in accordance with these Terms, the contractual term will expire 30 days after the later of the event's completion and the date on which the relevant event materials are no longer accessible to the Client through the Event Platform.

3.4 Event information

Reset Connect Ltd will take reasonable steps to ensure that information provided about an event is accurate. However, event information may change, and the Organiser does not warrant that all information will be complete or error-free.

An error in event information will not automatically entitle the Client to cancel its booking or receive a refund. This provision does not exclude any remedy that may be available under Applicable Laws.

3.5 Photography and recording

The Organiser or authorised third parties may photograph, film or record an event. Such recordings may include Delegates and form part of the Event Content.

The use of identifiable images, recordings and associated personal data will be subject to applicable data protection laws and the Organiser's Privacy Policy. Further information about the purposes and legal bases for such processing, and any applicable rights, is available at:

The Organiser does not guarantee compatibility with every device, operating system, browser or network configuration.

4.3 Account security and access credentials

Where access credentials are provided, the Client and its Delegates must keep them confidential and secure.

Credentials must not be shared, transferred, assigned or made available to unauthorised persons without the Organiser's prior written permission.

The Client must notify the Organiser promptly if it becomes aware of unauthorised access, compromised credentials or any other security incident affecting the Event Platform.

The Client remains responsible for the use of credentials issued to its Delegates, subject to Applicable Laws.

The Client must ensure that its Delegates do not:

  • Attempt to bypass platform security or access restrictions.

  • Hack, disrupt, damage or interfere with any system, server, website, network or device.

  • Introduce malicious code or attempt to compromise the integrity of the Event Platform.

  • Access accounts, content or information without authorisation.

  • Use the Event Platform in a manner that is unlawful or interferes with other users' participation.

The Client will be responsible for reasonable costs and losses arising from damage caused by its Delegates or third parties engaged on its behalf, to the extent permitted by Applicable Laws.

4.5 Unauthorised promotion

Delegates must not use the Event Platform to distribute unsolicited advertising, promotional material or commercial messages unless the Organiser has approved the activity in writing.

4.6 Monitoring and moderation

The Organiser may monitor, review or moderate activity and UGC on the Event Platform where appropriate. However, the Organiser does not undertake to monitor all content or interactions and cannot guarantee that all inappropriate or unlawful content will be identified or removed immediately.

4.7 Platform availability

The Event Platform is provided on an “as available” basis. The Organiser does not guarantee uninterrupted, error-free or continuously secure operation.

Temporary interruptions, maintenance, technical faults, third-party outages or other disruptions may occur. The Organiser will take reasonable steps to address material issues within its control but will not be responsible for losses to the extent caused by circumstances for which it is not legally liable.

4.8 Third-party content and services

The Organiser does not endorse or accept responsibility for third-party content, products, services or external websites accessible through the Event Platform.

Information supplied by speakers, exhibitors, sponsors or other participants is provided by the relevant contributor. The Organiser does not guarantee its accuracy, completeness or continued availability.

4.9 User-generated content

The Event Platform may include chat, messaging, collaboration, networking or content-generation features that enable Delegates to create or submit UGC.

Delegates must ensure that their UGC is lawful, professional and appropriate and does not infringe another person's intellectual property, confidentiality, privacy or other rights.

The Organiser may use UGC in connection with future events and its business activities, subject to the intellectual property provisions in Section 5 and Applicable Laws.

5. Intellectual property5.1 Client Background Intellectual Property

Client Background IPR means intellectual property owned or created by or on behalf of the Client:

  • Before the Effective Date; or

  • During the contractual term independently of the Client's performance of its obligations or exercise of its rights under these Terms.

The Client retains ownership of its Client Background IPR, subject to any licences expressly granted under these Terms.

5.2 Ownership of Organiser materials

Except for Speaker Content and intellectual property owned by third parties, the Organiser owns or is entitled to use the intellectual property rights in:

  • Materials and resources supplied to the Client or its Delegates in connection with the event.

  • Content, materials and intellectual property developed in connection with the event, including UGC and Event Content, to the extent those rights vest in the Organiser.

  • The Event Platform and associated branding, designs and materials.

Together, these rights are referred to as Organiser IPR.

Nothing in these Terms transfers ownership of third-party intellectual property to the Organiser.

5.3 Assignment of Organiser IPR

To the extent that the Client or its Delegates acquire intellectual property rights in material that constitutes Organiser IPR, the Client agrees, and will procure that its Delegates agree, to assign those rights to the Organiser or the relevant rights holder, with full title guarantee, to the extent legally permissible.

The Client will provide reasonable assistance required to give effect to this provision.

Any waiver of moral rights will apply only to the extent permitted by Applicable Laws.

5.4 Limited licence to the Client

For the duration of the contractual term, the Organiser grants the Client a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free licence to use Organiser IPR solely to the extent necessary to participate in the event and use the Event Platform as intended.

The Client and its Delegates must not reproduce, distribute, publish, sell, commercially exploit or share Event Materials with third parties without the Organiser's prior written consent, unless expressly permitted by the relevant materials or Applicable Laws.

5.5 Speaker Content

Where the Client or its Delegates supply or create Speaker Content, the Client:

a. Licence to the Organiser

Grants, or will procure the grant of, an irrevocable, non-exclusive, worldwide, royalty-free and transferable licence, including the right to sublicense, to use, reproduce, distribute, communicate, publish, adapt, translate and otherwise use the Speaker Content for the Organiser's and its Affiliates' business purposes.

This licence includes use in event-related promotional materials and other events and continues for the duration of the relevant intellectual property rights, including after termination of these Terms.

b. Rights and permissions

Warrants that the Speaker Content does not infringe third-party intellectual property rights, breach confidentiality obligations or violate Applicable Laws. The Client must obtain all necessary permissions, releases and licences before supplying the content.

c. Moral rights and performers' rights

Will procure any consents or waivers relating to moral rights and performers' rights that may lawfully be obtained and are reasonably required for the permitted uses described above.

5.6 Client Background IPR incorporated into UGC

Where Client Background IPR is incorporated into UGC or otherwise made available through the Event Platform, the Client grants, or will procure the grant of, a perpetual, non-exclusive, worldwide, transferable, royalty-free licence, including the right to sublicense, to use that intellectual property solely as incorporated into the relevant UGC for the Organiser's and its Affiliates' business purposes.

This licence survives termination of these Terms, subject to Applicable Laws and any applicable third-party rights.

5.7 Use of UGC

UGC submitted to the Event Platform will not be treated as confidential merely because it is submitted through the platform.

Subject to Applicable Laws, applicable privacy obligations and any separate confidentiality agreement, the Organiser may use, reproduce, distribute and disclose UGC for its business purposes.

Delegates should not upload confidential information, personal data belonging to others or commercially sensitive material unless they are authorised to do so and the intended use is appropriate.

5.8 Restrictions on use

The Client must ensure that its Delegates do not download, store, reproduce, transmit, display, distribute, commercially exploit or otherwise use the Event Platform, Event Materials or other contributions except as permitted under these Terms.

Delegates must not use event content or platform access for unauthorised commercial purposes or infringe the intellectual property rights of the Organiser or any third party.

6. Data protection and privacy

Reset Connect Ltd processes personal data in accordance with Applicable Laws and its Privacy Policy:

https://www.reset-connect.com/privacy-policy

The Client must ensure that it is authorised to provide the personal data of its Delegates to the Organiser and that the Delegates receive appropriate information about the processing of their data.

Personal data will be processed for the purposes described in the Privacy Policy, which may include registration, event administration, access management, communications and other legitimate event-related purposes.

The Organiser will handle personal data in accordance with its applicable legal obligations. The Client and its Delegates should consult the Privacy Policy for further information about data processing, retention, sharing and individual rights.

7. Fees and payment7.1 Payment obligations

The Client must pay all Fees in accordance with the amounts, payment schedule and due dates specified in the Booking Contract.

Unless expressly stated otherwise, Fees are exclusive of VAT and other applicable taxes. Any applicable tax will be charged in addition to the Fees.

7.2 Tax deductions

Where a deduction or withholding is required by law, the Parties will comply with the applicable legal requirements. Any adjustment to payment obligations will be made to the extent permitted by law and the Booking Contract.

7.3 Pricing and discounts

The Organiser may update published event prices from time to time. Any Fees already agreed in a confirmed Booking Contract will remain subject to that contract.

Discounts must be claimed at the time of registration, are subject to approval and cannot be combined unless expressly agreed in writing.

Group discounts apply only to the number of Delegates specified in the Booking Contract. Where fewer Delegates attend than the number covered by a group booking, the Organiser may adjust the Fees to reflect the applicable published rates, as specified in the Booking Contract.

Discounts and promotions will not be applied retrospectively unless expressly agreed by the Organiser in writing.

7.4 Late payment

If the Client fails to pay any Fees by the relevant due date, the Organiser may, without prejudice to its other rights and remedies:

  • Charge interest on overdue amounts at 2% per annum above the Bank of England base rate applicable from time to time, calculated daily from the due date until payment; and/or

  • Require payment as a condition of admission or continued access to the event and refuse admission or suspend access where payment remains outstanding.

Where access is refused because of non-payment, Fees already paid will not automatically be refundable, and outstanding amounts will remain payable, subject to Applicable Laws and the Booking Contract.

8. Changes to the event

The Organiser may make reasonable changes to an event's programme, format, schedule, speakers, exhibitors, hosting medium, Event Platform, virtual location or Venue.

Where changes are necessary, the Organiser will take reasonable steps to communicate material updates to registered Clients.

The Organiser will seek to ensure that any revised event remains substantially similar in nature to the event originally advertised.

A change that does not materially alter the event will not, by itself, entitle the Client to cancel its booking or receive a refund. Any rights arising from a material change will be determined in accordance with the Booking Contract and Applicable Laws.

The Organiser will not be responsible for additional travel, accommodation or other expenses incurred by the Client or its Delegates as a result of a change, except to the extent required by Applicable Laws or expressly agreed in writing.

9. Cancellation by the Client

The Client must notify the Organiser Contact in writing, including by email, if it wishes to cancel its registration.

The applicable cancellation charges, payment obligations and refund arrangements will be determined by the Booking Contract and any event-specific cancellation policy agreed at the time of booking.

Under the original booking terms, cancellation charges are based on the Fees due and payable at the time the Organiser receives the cancellation notice, and amounts already paid, including deposits or advance payments, are non-refundable.

The Client should review its Booking Contract carefully before cancelling. Any cancellation charge or non-refundable payment provision will apply only to the extent enforceable under Applicable Laws.

Failure by a Delegate to attend an event does not, by itself, cancel the booking or release the Client from its payment obligations.

10. Cancellation, postponement or curtailment by the Organiser10.1 Wholly virtual events

The Organiser may postpone or cancel a wholly virtual event and will provide written notice, including by email, as soon as reasonably practicable.

Where a virtual event is postponed, the Organiser may reschedule it to take place within six months of the original event date. The original booking will ordinarily transfer to the rescheduled event.

If a wholly virtual event is cancelled, the Organiser will provide a refund or credit note equal to the Fees paid, in accordance with the applicable Booking Contract and Applicable Laws.

10.2 In-person and hybrid events

The Organiser may postpone or cancel an in-person or hybrid event where reasonably necessary and will notify registered Clients in writing as soon as reasonably practicable.

If an event is postponed and the Client can no longer attend the rearranged event, the Organiser will provide a credit note equal to the Fees paid, subject to the applicable Booking Contract and Applicable Laws.

If the Organiser cancels the event, it will provide a credit note equal to the Fees paid, subject to the applicable Booking Contract and Applicable Laws.

The original terms provide for a credit note as the contractual remedy for postponement or cancellation of in-person events. Any refund rights or other remedies that cannot lawfully be excluded will remain unaffected.

10.3 Travel and accommodation

Unless expressly agreed otherwise or required by Applicable Laws, the Organiser is not responsible for travel, accommodation or other third-party expenses incurred by the Client or its Delegates in connection with a postponed or cancelled event.

Clients are encouraged to consider appropriate travel insurance and flexible booking arrangements.

10.4 Public health restrictions

Where an event is postponed due to a public health emergency, epidemic, pandemic or associated government restrictions, the Organiser may transfer the booking to the rescheduled event in accordance with these Terms and the applicable Booking Contract.

11. Force majeure11.1 Events beyond reasonable control

The Organiser will not be in breach of these Terms to the extent that a delay or failure to perform its obligations results from a Force Majeure Event.

The Organiser will use reasonable endeavours to notify affected Clients of the relevant circumstances, their likely duration and their anticipated impact as soon as reasonably practicable.

The time allowed for performance of an affected obligation will be extended by the period during which performance is delayed, to the extent permitted by Applicable Laws.

11.2 Changes or cancellation due to force majeure

Where a Force Majeure Event prevents or is reasonably likely to prevent the event from taking place as planned, the Organiser may:

a. Reschedule or relocate the event

Change the event date, timing, Venue, virtual location, hosting medium or Event Platform, provided the revised event remains substantially similar to the event originally advertised.

Where an event is rescheduled or relocated under this provision, the booking will ordinarily transfer to the revised event. The Client's rights will be subject to the Booking Contract and Applicable Laws.

b. Cancel the event

Cancel the event where it is not reasonably practicable to proceed.

The original terms provide for a credit note equal to the Fees paid in the event of cancellation under this provision. Any applicable refund rights that cannot lawfully be excluded will remain unaffected.

The Organiser will not be responsible for consequential travel, accommodation or other expenses except to the extent required by Applicable Laws or expressly agreed in writing.

12. Indemnity

To the extent permitted by Applicable Laws, the Client will indemnify the Organiser and its Affiliates against reasonable losses, liabilities, damages, costs and expenses arising from:

  • Physical damage caused by the Client or its Delegates in breach of these Terms.

  • Actual or alleged infringement of third-party intellectual property rights arising from content or materials supplied by the Client or its Delegates.

  • Unauthorised use of the Event Platform by the Client or its Delegates.

  • Third-party claims arising from the Client's or its Delegates' breach of these Terms or unlawful conduct.

This indemnity will not apply to the extent that a relevant loss or claim is caused by the Organiser's breach of these Terms, negligence or other conduct for which liability cannot lawfully be excluded or limited.

The Client must notify the Organiser promptly of any relevant claim and provide reasonable cooperation in its resolution.

13. Limitation of liability13.1 Liability cap

Subject to Clause 13.2 and Applicable Laws, the Organiser's total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), misrepresentation, restitution or otherwise, will not exceed 100% of the Fees paid by the Client under the relevant Booking Contract.

13.2 Liability that cannot be excluded

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence.

  • Fraud or fraudulent misrepresentation.

  • Any other liability that cannot lawfully be excluded or limited.

13.3 Excluded losses

To the maximum extent permitted by Applicable Laws, the Organiser will not be liable for:

  • Loss of profits, revenue, sales or business.

  • Loss of contracts, agreements or anticipated savings.

  • Loss of goodwill or reputation.

  • Indirect or consequential loss.

Nothing in this clause excludes liability to the extent that it cannot lawfully be excluded.

13.4 Event information and outcomes

The Organiser does not guarantee the presence, identity or location of any particular exhibitor, sponsor, speaker or attendee, or any particular number or mix of participants.

The Organiser does not guarantee any specific commercial, networking, business development or other outcome from attending an event.

13.5 Virtual platform and third-party content

To the maximum extent permitted by Applicable Laws, the Organiser will not be liable for losses caused by:

  • Temporary unavailability or disruption of the Event Platform.

  • Content hosted on the Event Platform, including downloadable material or third-party links.

  • Unlawful, defamatory or infringing content posted by third parties.

  • Third-party products, services or information made available through the Event Platform.

Nothing in this section excludes liability that cannot lawfully be excluded or limits any rights or remedies that apply under Applicable Laws.

14. Insurance

The Organiser recommends that the Client and its Delegates arrange appropriate insurance for their attendance at an event.

Depending on the nature of the event and the Delegate's circumstances, this may include cover for travel disruption, accommodation costs, personal belongings, cancellation or non-attendance.

The Client is responsible for assessing its own insurance requirements and ensuring that any necessary cover is in place.

15. Termination15.1 Termination by the Organiser

The Organiser may terminate these Terms by written notice where:

  • The Client or a Delegate commits a material breach of these Terms and, where the breach can be remedied, fails to remedy it within seven days of receiving written notice requiring it to do so.

  • The Client becomes subject to insolvency, liquidation, administration, receivership, restructuring or analogous proceedings, subject to Applicable Laws.

  • The Client's financial circumstances materially deteriorate to the extent that there are reasonable grounds to believe it may be unable to perform its obligations.

  • A Delegate engages in conduct that, in the Organiser's reasonable opinion, seriously damages or threatens to damage the reputation of the Organiser, its Affiliates or the event.

Where immediate action is reasonably necessary to protect safety, security, legal compliance or the proper operation of an event, the Organiser may suspend access or take other appropriate action without waiting for the remedy period to expire.

15.2 Automatic termination

These Terms will terminate automatically where the Organiser cancels an event in accordance with the applicable cancellation or force majeure provisions, subject to any provisions that are expressly intended to survive termination.

15.3 Consequences of termination

On termination, all outstanding Fees will remain payable, except where the applicable cancellation provisions, the Booking Contract or Applicable Laws provide otherwise.

Any licence granted to the Client under Clause 5.4 will terminate when these Terms expire or are terminated, unless otherwise agreed in writing.

15.4 Continuing provisions

Any provision that by its nature is intended to survive expiry or termination will continue to apply.

This includes provisions relating to intellectual property licences, indemnities, limitations of liability, outstanding payment obligations, governing law and any other rights or obligations that accrued before termination.

16. General provisions16.1 Independent parties

Nothing in these Terms creates a partnership, joint venture, employment relationship or agency between the Parties.

Neither Party may represent that it has authority to bind the other Party or enter into obligations on the other Party's behalf.

16.2 Public announcements

The Organiser may identify the Client as an attendee of an event and make factual announcements about the Client's participation, subject to Applicable Laws, confidentiality obligations and any applicable written agreement between the Parties.

The use of the Client's logos, trademarks or other protected brand assets in promotional materials remains subject to any applicable permissions or separate agreements.

16.3 Set-off

To the extent permitted by Applicable Laws, the Organiser may set off amounts owed by the Client against amounts owed by the Organiser to the Client.

Where amounts are expressed in different currencies, the Organiser may convert them at a reasonable market exchange rate for the purpose of calculating the set-off.

The exercise of this right does not affect any other rights or remedies available to the Organiser.

16.4 Entire agreement

These Terms and the applicable Booking Contract constitute the entire agreement between the Parties concerning the Client's attendance at the event and supersede previous agreements, representations and understandings relating to that subject matter.

Nothing in this clause excludes liability for fraud or fraudulent misrepresentation.

16.5 Order of precedence

If there is a conflict between these Terms and any Additional Terms, these Delegate Terms & Conditions will take precedence unless the relevant Additional Terms expressly state otherwise and have been agreed in writing by the Organiser.

Any event-specific Booking Contract provision that expressly varies these Terms will take precedence to the extent that the variation has been agreed in writing.

16.6 Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as deleted or limited to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

16.7 Assignment

The Client may not assign, transfer or subcontract its rights or obligations under these Terms without the Organiser's prior written consent.

16.8 Third-party rights

Except where expressly stated otherwise, a person who is not a Party to these Terms has no right to enforce any provision under the Contracts (Rights of Third Parties) Act 1999.

This does not affect any rights expressly granted to an Affiliate under these Terms.

16.9 No partnership or joint venture

Nothing in these Terms creates a partnership or joint venture between the Parties or authorises either Party to enter into commitments on behalf of the other.

16.10 Notices

Notices under these Terms must be given in writing to the relevant contact details specified in the Booking Contract or otherwise notified by the receiving Party.

Notices may be delivered by email, post or hand, where appropriate.

A notice sent by post will be deemed received on the earlier of actual receipt or five business days after posting. A notice sent by email will be deemed received when the recipient's server confirms receipt or, if no receipt confirmation is generated, when the email is delivered to the recipient's server, provided the sender does not receive an undeliverable notification. A notice delivered by hand will be effective upon delivery.

These provisions do not override any mandatory legal requirements concerning service of notices.

16.11 Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them will be governed by the laws of England and Wales.

The Parties submit to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory legal rights or jurisdictional requirements that apply.
